These Subscription and Trading Terms form the basis of the relationship between you and SoundWheel and affect your legal rights and obligations. So before you dive into SoundWheel's magical universe, we encourage you to read these terms and conditions.
These general terms apply to the agreement on the supply and operation of SoundWheel's subscription service with personalized features (hereinafter "the Service"), which is offered by SoundWheel ApS, with company registration number 42360597 (hereinafter "SoundWheel").
SoundWheel enables the user to access music meditations, audio journeys and other similar content (hereinafter referred to as the “Content”) streamed via the Internet to your mobile phone or other compatible device with Internet access. If you create an account, order a free trial and/or subscription plan with SoundWheel, purchase a Gift Card, download, access and/or use SoundWheel's website, use an add-on service or otherwise use the content or any of the features of the service made available by SoundWheel, you enter into a binding agreement with SoundWheel and agree to abide by these terms. You also hereby agree that SoundWheel may process your personal data in accordance with SoundWheel's privacy policy.
These terms of use, SoundWheel's privacy policy and any additional terms and/or additional terms and conditions from SoundWheel are collectively referred to herein as the "Terms".

Acceptance of the terms and provision of the above information is a condition for you to access and use the service. If you do not accept the Terms, you may not use the Service or its features or consume any content made available on the Service.
SoundWheel provides a web-based subscription service and via it you as a Subscriber can stream music meditations, audio journeys and other similar content to your mobile phone or similar devices with access to the Internet. In addition, the Service potentially includes personalized recommendations, messages and features developed and adapted to the user to make your experience even better. Unless otherwise agreed in additional terms or pursuant to a subscription scheme offered to you by SoundWheel and which you have accepted, you may only use the Service described above for non-commercial, personal purposes in accordance with the Terms.
In order to use the Service, you must use a device that is connected to the Internet. We strive to be available on as many devices and browsers as possible, but cannot guarantee optimal functionality on older devices (+5 years), as well as not updated versions of browsers and operating systems.
We recommend using the service via either headphones, in-ear headsets or external speakers, as the built-in speakers in various devices do not deliver the sound quality needed to get the full benefit of SoundWheel. The responsibility for ensuring an optimal user experience via the provision of the above additional equipment rests solely with the user.
SoundWheel reserves the right, at its option, to offer the Service through various subscription schemes, including but not limited to: marketing schemes, schemes provided by (or bundled with) third parties, schemes based on the number of concurrent users offered, or schemes based on restrictions in the Content that is made available.
SoundWheel reserves the right, at its sole discretion, to add new Plans, remove existing Plans, or change features of such Subscription Plans at any time. If such a change has a significant impact on an existing subscription arrangement to the detriment of the Subscriber, the Subscriber will be informed of this in advance and be given the opportunity to cancel the Service in accordance with clauses of these Terms paragraph 12.
The number of concurrent users offered in a subscription plan depends on the type of subscription plan you have signed up for and will be detailed in the additional terms and conditions you have separately accepted.
On the SoundWheels website, you can find updated information about prices and the types of subscription plans that are currently offered in your country of residence. Here, you can also find a presentation of the subscription plan(s) currently available and their respective additional terms (including any specific limitations) that you must accept separately to access the relevant plan.
You can find information about your current subscription plan by logging into your account on the SoundWheels website. To do this, log in to SoundWheels using your username and the login link sent to your email, and then click on "Profile."
All use of SoundWheel is at the user's own responsibility. The service aims to assist subscribers in accessing different meditative states, during which strong emotional experiences may arise. SoundWheel cannot replace therapy or other consultations of a mental and healthcare nature and should solely be seen as a supplement to maintaining a healthy mental balance in everyday life. If one is vulnerable, diagnosed, or receiving medical or therapeutic treatment, it is advised not to use SoundWheel without first consulting the person responsible for the treatment. SoundWheel strongly recommends discontinuing the use of the service if one experiences persistent discomfort, anxiety, or any other negative reactions related to the use of its content. We also caution against using SoundWheel with a guide in situations where the user is driving, operating dangerous machinery, or engaging in any activity that requires full and clear attention to one's surroundings. SoundWheel assumes no responsibility for any negative effects, both external and internal, resulting from the use of the service. However, we encourage users to exercise their own common sense to ensure safe use of SoundWheel.
Your subscription to the Service can begin with a free trial period ("Free Trial Period"). The Free Trial Period lasts for seven (7) days or as indicated during your sign-up and is intended as a way to give the User an opportunity to try the Service.
When you sign up for a Free Trial Period, you will be automatically transferred to a monthly subscription plan at the end of the Free Trial Period unless you cancel your subscription to the Service before the last day of the Free Trial Period. In such case, you will not be charged, and your subscription will be canceled.
If you are offered a Free Trial Period, it is SoundWheels' intention to provide you with the Free Trial Period only once. A User who has already taken advantage of the offer of a Free Trial Period will be ineligible for additional Free Trial Periods. SoundWheel assesses at its own discretion whether a Subscriber has access to a Free Trial Period and may limit this access to prevent abuse of the Free Trial Period and/or violation of the Terms. SoundWheel reserves the right to cancel or terminate a Free Trial Period if, in its sole discretion, it determines that a user does not have access to it. The User cannot combine the offer of a Free Trial Period with other offers.
SoundWheel collaborates with third-party payment service providers who are responsible for receiving all your payments before settling them with SoundWheel.
Subscriptions are billed monthly in advance until the subscription is canceled. With monthly billing, you will receive a charge every thirtieth (30th) day from the date you activate a subscription or, if the subscription started with a Free Trial Period, from the expiration date of the Free Trial Period unless you or SoundWheel have canceled the subscription before then. In some cases, the billing may occur at a different time, for example, if it is not possible to confirm the validity date of the payment method you have chosen, such as your credit card information.
The prices can be seen on the SoundWheels website. All prices are inclusive of VAT. Payment can be made with credit/debit cards or Mobile Pay. Regarding credit cards, please be aware that SoundWheel may refuse to accept or block credit cards that are not issued in the country where the Service is offered to you. SoundWheel also reserves the right, at its own discretion and at any time, to refuse to accept certain credit cards.
The prices may vary depending on the payment method used. If there are variations in prices, SoundWheel must provide information about them on the SoundWheels website along with the general pricing information. The prices do not include any data communication costs or fees that your internet or telecommunication service provider may charge according to your agreement with such a service provider.
In the event of non-payment or delayed payment, SoundWheel reserves the right to suspend your access to the Service. If this should occur, please contact us via email. In the case of delayed payment, SoundWheel is entitled to charge you reasonable penalty interest, reminder fees, and collection fees, if applicable.
SoundWheel may choose to offer different types of Gift Vouchers. Some Gift Vouchers may be on specific products, which means that the Gift Voucher in question is linked to a specific subscription scheme chosen by the buyer at the time of purchase. Such Gift Vouchers can only be used in accordance with the terms applicable to the scheme in question.
When you sign up as a Subscriber with a SoundWheel Gift Card, you accept the Terms in the same way as a paying subscriber to the Service does, except for the provisions therein regarding payment.
As a user of a SoundWheel Gift Card, you will have full access to the Service in accordance with the subscription scheme in question throughout the validity period of the Gift Card. When the Gift Card expires, the Service ends automatically, unless you actively register as a paying subscriber or redeem a new SoundWheel Gift Card.
When you register as a Subscriber, you are automatically logged in to SoundWheel and the subscription starts. As soon as you are logged in to SoundWheel, the statutory right of cancellation of fourteen (14) days in accordance with the Consumer Contracts Act is waived.
However, you still have the right to terminate the Service in accordance with section 12 below.
The Service is the copyrighted property of SoundWheel ApS, and all trademarks, service marks, trade names, visual product elements and other intellectual property rights to the Service or the Service Content available to you are owned by SoundWheel ApS. Unless we expressly stipulate otherwise when entering into a written agreement, no part of the Service or its content may be used or utilized in any other way than as part of the Service offered to you in accordance with the Terms. You may be the owner of the physical device used to provide parts of the Service to you, but we retain full ownership of the Service and all related intellectual property rights. We do not transfer any right or title to any part of the Service to you, nor do we transfer any right or title to any content available to you through the use of the Service. No content relating to a trademark owned by or licensed to SoundWheel shall be construed as granting, by implication or otherwise, a license or right to use any trademark you may see when using the Service.
The content offered to you via the Service will vary from period to period and between different countries and regions where the Service is available. The content may also vary depending on your location when you use the Service. SoundWheel does not guarantee that the Service or the content you may access through the Service will be available for use in any country other than the country in which you reside and in which the Service is made available to you.
The Service is configured so that it is possible to use the Service's software, content, virtual elements or other material owned or licensed by us. We hereby grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the Service's software, content, virtual elements or other materials solely for your personal, non-commercial use.
You agree and warrant that you and other persons whom you authorize to access the Service through your account may not (either for commercial or other purposes) copy, reproduce, duplicate, modify, develop derivative works of, display, publish , distribute, disseminate, broadcast, transmit, sell, rent, lend, sublicense, circulate or otherwise make use of material and/or part or all of the Service to or to a third party (including displaying and distributing material via a third party website) without first obtaining express written permission from SoundWheel or unless expressly permitted by applicable mandatory law.
You further agree and warrant that you and any other person whom you authorize to access the Service through your account shall not: (1) redistribute, circumvent or disable the copy protection system or digital rights management technology used in the Service; ; (2), decompile, reverse engineer, disassemble, or otherwise reduce a Service to a human-audible or human-readable format; (3) remove any identifying, copyright or other proprietary notices; or (4) access or use the Service illegally or unauthorizedly or in a manner that suggests an affiliation with our products, services or brands.
This point 10 applies to everyone who has access to the Service.
Once you have registered for an account with SoundWheel and signed up as a subscriber under a subscription plan or signed up for a Free Trial, your subscription with SoundWheel will continue on a monthly basis until you or SoundWheel cancel the subscription. Unless you cancel your subscription, you therefore authorize us to charge you the next month's subscription payment in accordance with the Terms and via the payment method you selected and registered with SoundWheel when you signed up for the Service or otherwise notified to us.
To terminate the Service before a new month is added to your subscription period, you must terminate the Service no later than the day before a new monthly subscription period begins, otherwise the subscription will continue to be charged for another month before the subscription ends.
To cancel your subscription, visit the SoundWheel website and log in. Click on "My Account", select "Cancel subscription" and follow the instructions. You can also terminate the Service by contacting SoundWheel via the contact form on the website.
In addition to SoundWheel's right to terminate a subscription in section 5.3, 6.5 and 14.4 or elsewhere in the Terms, SoundWheel is entitled to terminate or limit your access to the Service with immediate effect if SoundWheel has reason to believe that you (or a person to whom you have provided access to the Service) has breached the Terms or any applicable legislation or rules and regulations. This will also apply in the event that you use the Service fraudulently or in a way that may cause damage to SoundWheel or a third party.
As part of the delivery of the Service, SoundWheel may contact you by letter, telephone, SMS, MMS, e-mail or directly via the Service in order to notify about the Service's functions (including sending reminders regarding expiry dates on credit cards) and Content. SoundWheel is also entitled, if you have given your consent, to contact you by letter, telephone, SMS, MMS, e-mail directly via the Service in connection with marketing activities, including sales campaigns or similar activities, products and events relating to the Service.
If you have separately given your consent to this, SoundWheel may also contact you via other forms of communication, e.g. via third party social media platforms.
All communications between SoundWheel and the Subscriber must be in accordance with SoundWheel's Privacy Policy.
SoundWheel is not responsible for any operational disruptions in mobile networks or with internet providers.
The service is available around the clock, seven (7) days a week. However, SoundWheel cannot guarantee that the Service will always be free of errors or interruptions. If errors or omissions or interruptions occur in the Service, SoundWheel has the right to remedy these without there being a breach of the agreement, i.e. of the Terms. SoundWheel also has the right, within reasonable limits, to close the Service, e.g. in order to carry out upgrades and maintenance.
SoundWheel reserves the right to assign all or part of its rights and obligations under the Terms to third parties. SoundWheel is also entitled to engage subcontractors to perform its obligations under the Terms. Such changes that may affect the processing of your personal data must be made in accordance with SoundWheel's Privacy Policy.
SoundWheel may change the Terms at its discretion. When SoundWheel makes material changes to the Terms that are not in your favor, you will be notified, e.g. by displaying a message in the Service or by sending an e-mail, SMS or displaying a push message via the Service no later than thirty (30) days before the changes take effect. In some cases we will ask for your express consent and in some cases we will notify you in advance and your continued use of the Service constitutes your acceptance of the changes. It is therefore important that you read all notifications or messages from us carefully. If at any time you wish to stop using the Service due to such updates or changes to the Terms, you can cancel your subscription at any time by following the instructions in section 12 of these Terms.
Unless otherwise stated in applicable supplementary terms, the Subscriber may listen to audio journeys, music meditations, read guides (travel plans) and use the Content in the Service solely for the Subscriber's personal, non-commercial use. Users of the Service must e.g. do not play the content to an audience or in a public place. Your account information (including but not limited to login information) is personal and may not be shared with others.
The user undertakes not to circumvent or attempt to circumvent the technical or other restrictions that have been introduced to prevent copying of the Content in the Service, and may neither fully nor partially copy the content in the Service, nor for their own private use.
You agree that your access to and use of the Service must be in accordance with the Terms. This also applies to anyone to whom you give access to the Service via your account. You may only grant access to other users in accordance with the Terms.
If you are offline for thirty (30) days and have temporarily downloaded Content for a (future) App, SoundWheel may request that you go online to ensure that you continue to have an active subscription to the Service and to update the Content in The service. If you decline to do so, SoundWheel reserves the right to suspend any further use of the Service until you have verified that you have an active account with SoundWheel. If you do not verify your account, SoundWheel may choose, in its sole discretion, to continue to suspend access to the Service or close your account.
It is your responsibility to ensure that the information provided during registration is correct and that all personal data received by SoundWheel, including your email address, is correct. You also have a duty to notify SoundWheel of any changes in the information provided, in particular when changing your e-mail address. Any email that SoundWheel sends to your email address will be deemed received by you no later than two (2) days after the email is sent.
You are obligated to regularly monitor your account to prevent others from accessing the Service and undertake not to disclose your password, if any, share the login link that provides access to SoundWheel, or any other personal information associated with your account, so as long as you subscribe to the Service.
The Subscriber is not entitled to assign its rights and obligations under the Terms, unless the Subscriber has SoundWheel's written consent to do so.
The Subscriber must not use the Service in a way that causes or may cause the Service to be interrupted, destroyed or degraded. You agree that you, and not SoundWheel, are responsible for all electronic communications and electronic content sent from your device to us, and that your use of the Service, your device, and our website and any forums provided by SoundWheel available both inside and outside the Service, must be for lawful purposes only. You further agree that you will not use the website for fraudulent purposes or in connection with an offense or other illegal activity, and that you will not send, use or reuse material that does not belong to you or is illegal, offensive (including but not limited to material with sexually explicit content or material inciting racism, hatred or physical violence), misleading, deceptive, violent, indecent, harassing, defamatory, libelous, obscene, pornographic or in breach of copyright, trademark law , confidentiality, trade secret or other confidential information or proprietary rights, or is otherwise harmful or destructive to third parties.
Should any errors or omissions occur in the Service or in any part of the Service, you are urged to contact SoundWheel using the contact form on SoundWheel's website from the email address associated with your account, or otherwise inform us or file a complaint.
The Subscriber acknowledges that the Service includes Content that is unsuitable for minors. You therefore agree, regardless of whether you have chosen to use a Content Filter (such as kids mode), that you will not allow minors to access the Service unless they are supervised.

The Service is made available solely to you, so that you can use the Service on a non-commercial basis for recreational, self-developing entertainment purposes, and the like.
The terms and conditions are subject to and must be interpreted in accordance with Danish legislation.
Any dispute that may arise between SoundWheel and the Subscriber must initially be resolved amicably between the parties. If the parties cannot reach an agreement, the dispute can be submitted to the Center for Complaint Resolution, Nævnenes Hus, Toldboden 2, 8800 Viborg, Denmark www.naevneneshus.dk. Otherwise, the dispute must be settled in the ordinary courts.
In addition, the EU Commission has set up a website for online dispute resolution, which aims to help consumers and businesses settle their disputes out of court. The website can be viewed at http://ec.europa.eu/consumers/odr/ .
If you are dissatisfied with the Service, the content available on the Service or with the Terms, your sole remedy is to discontinue access to or use of the Service.
